1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and MarketPulse AI ("MarketPulse," "we," "us," or "our") governing access to and use of the MarketPulse AI website, applications, APIs, dashboards, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our data practices described herein. If you do not agree, you must not register for or use the Service.

We may modify these Terms at any time in our sole discretion. Material changes may be communicated through the Service, by email, or by updating the effective date above. Your continued use after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher, to use the Service.

You represent that you have the legal capacity to enter into this agreement and that all registration information you provide is accurate, current, and complete. You agree to maintain and promptly update your account information.

3. Educational Use Only — No Financial Advice

The Service provides educational market research tools, probability-based forecasts, technical indicators, and AI-assisted analysis derived from structured data. Nothing on the Service constitutes financial, investment, trading, tax, legal, or professional advice.

We do not recommend, endorse, or solicit the purchase or sale of any security, cryptocurrency, or financial instrument. Past performance, simulated outcomes, and probability outputs do not guarantee future results. You are solely responsible for your financial decisions.

4. Accounts and Security

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

We may require multi-factor authentication, password policies, session timeouts, or other security measures at any time. Failure to comply may result in suspension or termination.

5. Suspension and Termination

We reserve the absolute right, with or without notice, to suspend, restrict, or terminate your account and access to the Service at any time, for any reason or no reason, including but not limited to:

• Suspected fraud, abuse, or violation of these Terms
• Conduct we deem harmful to other users, third parties, or the Service
• Regulatory, legal, or risk-management requirements
• Extended inactivity or non-payment of fees (if applicable in the future)
• Any action that exposes us to liability or reputational harm

5.1 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete or retain your data as described in Section 8. Provisions that by their nature should survive termination will survive, including limitations of liability, indemnification, dispute resolution, and intellectual property rights.

You may stop using the Service at any time. Account deletion requests may be honored at our discretion and subject to legal retention obligations.

6. Acceptable Use

You agree not to:

• Reverse engineer, scrape, crawl, or automate access except as expressly permitted
• Circumvent rate limits, authentication, or security controls
• Upload malware, interfere with Service operation, or attempt unauthorized access
• Misrepresent identity or impersonate any person or entity
• Use the Service in violation of applicable law or third-party rights
• Resell, sublicense, or commercially exploit the Service without our written consent

7. Intellectual Property

The Service, including software, designs, logos, text, models, scoring methodologies, and documentation, is owned by MarketPulse or its licensors and protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

You retain ownership of content you submit, but grant us a perpetual, worldwide, royalty-free, sublicensable license to use, store, reproduce, modify, analyze, aggregate, and display such content for operating, improving, marketing, and developing the Service.

8. Data Collection, Use, and Sharing

We collect information you provide (such as name, email, and account settings), technical data (IP address, device identifiers, browser type, usage logs), market activity within the Service (symbols viewed, predictions generated, watchlists), and outputs from AI and analytics systems.

By using the Service, you consent to our collection, processing, storage, and use of your information for purposes including:

• Providing, maintaining, and securing the Service
• Personalization, analytics, product development, and machine learning
• Fraud prevention, abuse detection, and legal compliance
• Marketing and communications (including promotional emails, subject to applicable law)
• Aggregating and anonymizing data for research and benchmarking

8.1 Commercial Use and Disclosure of Data

To the fullest extent permitted by applicable law, you acknowledge and agree that we may sell, license, rent, transfer, or otherwise commercially exploit User Data and Derived Data (defined below) to third parties, including data brokers, analytics providers, advertisers, affiliates, and business partners, without additional notice or compensation to you.

We may also disclose information when required by law, subpoena, court order, or governmental request, or when we believe disclosure is necessary to protect rights, safety, or property.

8.2 Retention

We may retain your information for as long as we deem necessary for business, legal, audit, or security purposes, including after account termination. Backup copies may persist for additional periods.

9. Third-Party Services and Market Data

The Service may integrate third-party market data providers, AI models, hosting, and analytics tools. We do not control and are not responsible for third-party accuracy, availability, or practices.

Market data may be delayed, incomplete, or simulated (including mock data in development environments). You use all data at your own risk.

10. AI-Generated Outputs

Forecasts and narratives may be produced by automated systems, including large language models constrained by structured inputs. Outputs may contain errors, omissions, or bias.

We make no warranty as to accuracy, completeness, or fitness for any purpose. You must independently verify information before relying on it.

11. Fees and Changes

The Service may be free today but we reserve the right to introduce fees, subscription tiers, or usage-based charges at any time. Continued use after fee changes constitutes acceptance unless you cancel your account.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETPULSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, IF ANY.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless MarketPulse and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your jurisdiction.

Any dispute arising from these Terms or the Service shall be resolved by binding arbitration on an individual basis, except that either party may seek injunctive relief in court for intellectual property or unauthorized access. You waive any right to participate in a class action or class-wide arbitration to the extent permitted by law.

If arbitration is unenforceable, exclusive jurisdiction shall lie in the state and federal courts located in Delaware.

16. Miscellaneous

These Terms constitute the entire agreement between you and MarketPulse regarding the Service and supersede prior understandings.

Our failure to enforce any provision is not a waiver. If any provision is held invalid, the remainder remains in effect.

You may not assign your rights under these Terms; we may assign ours freely in connection with a merger, acquisition, or sale of assets.
